Digital Single Record Deal Competition

Competition Guidelines

The 100.3 the BEAT Digital Single Record Deal Competition (“Competition”) is a hip-hop competition. Participants will audition on Saturday, May 8, 2010 from 9:00 a.m. to 4:00 p.m. (“Audition Date”) at the Shampoo Night Club for an opportunity to win a digital single record deal from E1 Entertainment, LP (“E1”), which will only be distributed online.  Five (5) finalists will be selected from among those performing on the Audition Date to perform live during the Listen and Critique Workshop at the Music and Entertainment Conference on Sunday, May 23, 2010.  One grand prize winner will be awarded a digital single record deal with E1 Entertainment.

ENTRY GUIDELINES:

Listeners of WPHI-FM who are legal residents of the U.S., and are 16 years of age and older will be able to take part in this Competition.  To participate in the Competition, listeners must do the following:

On the Audition Date, each performer will have one (1) minute to perform an original hip-hop song in front of the panel of judges.

Auditions: On the Audition Date, registration will begin at 8:00 a.m.  Auditions will be held from 9:00 a.m. to 4:00 p.m. or held for the first two hundred (200) registrants, whichever comes first.  To audition, each registrant must pay a Seventy-Fee Dollar ($75) registration fee, which will include a ticket for the Music and Entertainment Conference Listen and Critique Workshop to be held on Sunday, May, 23 2010.   Payment must be made at the time of registration.  Registration and auditions will be held on-site at the Shampoo Night Club located at 417 North 8th Street, Philadelphia, PA. Only one (1) audition is permitted per registrant Auditions will be limited to soloists 16 years of age or older.

Each performer has 1 minute to perform an original song in front of the judges.  Any accompanying music must be on a CD.  No DATS, vinyl or cassettes will be permitted.  Material must never have been played on the radio.  No Props, No Hype People, No Dancers or Background Singers are permitted during Auditions.

Audition performances that are patently offensive, lewd, pornographic or obscene, or similarly inappropriate in Sponsor’s sole discretion will not be eligible for entry into the Competition.

Each Competition submission (and audition performance) must be wholly original, solely owned and created entirely by participants(s) and must not incorporate or include anything that is owned by any third party or would require the consent of any third party.

ELIGIBILITY RESTRICTIONS:

1.    The Competition is open to listeners of WPHI-FM who are 16 years of age and older and are legal residents of the U.S.

2.    The Competition is for amateurs.  Any registrant, who is a professional recording artist, has previously released a professional recording or is in the process of recording for a record label or artist, is ineligible to participate or win.

3.    Competition participants must not violate any law or the copyright, trademark, publicity right, privacy right or any other right of any third party.  Music, lyrics, beats, poems and rap verses from songs, videos, literature, records, tapes or other media that are copyrighted and/or owned by others may not be used in or appear in audition performances.

  1. Employees of WPHI-FM, Radio One, Inc., E1 Entertainment, their respective subsidiaries, affiliates, general sponsors, advertisers, promotional partners, other radio stations in the Philadelphia, PA metropolitan area, and members of the immediate families or households of any of the above are NOT eligible to participate or win in this Competition.
  1. Competition participants will be required to sign and submit publicity release form and/or a liability release form prior to their performance.  If a competition participant is a minor (under the age of eighteen (18)), the parent or legal guardian of the contestant must sign and submit all requested release forms.
  1. Competition participants who are under the age of eighteen (18) must be accompanied by a parent or legal guardian while participating in auditions, rounds and finals.
  1. Persons who have won a prize in another Competition or promotion of any kind from WPHI-FM within the thirty-day (30) period immediately preceding the start date of this Competition are not eligible to participate.

PRIZES:

  1. Grand Prize package will include the following:

o       a single record deal from E1 Entertainment, LP (as solely determined by E1 Entertainment).  WPHI-FM and Radio One, Inc. shall not be a party to that agreement and shall not be liable for any claims of alleged liability (including contract breach) by the winner(s) in connection with the Competition prize.

  1. Prizes that are not mailed (via us mail or UPS) or provided by the participating sponsor must be claimed at the station’s offices within thirty (30) days of the date of winning.
  1. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by station management and/or the sponsor in its sole discretion.
  1. All Competition winners must sign and date official station release and waiver forms as requested.  Failure to do so will result in winner forfeiting the prize.

5.    If for any reason a Competition winner provides notice that he or she has decided not to accept an awarded prize, the winner will be required to sign a release form acknowledging that they are forfeiting the prize.  It will be at the discretion of WPHI-FM and / or Competition administrator if another participant is to be selected as the winner if time permits.

6.    If the Competition winner does not claim their prize within 30 days of winning notification the prize will be automatically forfeited.

  1. Winners must provide valid identification (i.e. via driver’s license, passport or other photo I.D.) to claim their prize.

8.    If a finalist does not attend the Music and Entertainment Conference Listen and Critique Workshop, the finalist will automatically be disqualified from winning the Grand Prize.

EXECUTION:

1.    On the Audition Date, registration will begin at 8:00 a.m.  Auditions will be held from 9:00 a.m. to 4:00 p.m. or held for the first two hundred (200) registrants. To audition, each registrant must pay a Seventy-Five Dollar ($75) registration fee, which will include a ticket to the Music and Entertainment Conference Listen and Critique Workshop to be held on Sunday, May, 23 2010.  Payment must be made at the time of registration.  Registration and auditions will be held on-site at the Shampoo Night Club located at 417 North 8th Street, Philadelphia, Pa. Only one (1) audition is permitted per registrant.  Auditions will be limited to soloists and groups with no more than three (3) people providing that all performers are 16 years of age or older.

2.    Five (5) finalists will be selected from among those performing on the Audition Date to perform live at the Music and Entertainment Conference on Sunday, May 23, 2010.  The five (5) finalists will be notified at the Music and Entertainment Conference.

3.    The finale will take place on Sunday, May 23, 2010 during the Music and Entertainment Conference.

4.    Each finalist will have up to three (3) minutes to perform in front of the judges. Finalists may provide a CD of accompanying music only during performances on May 23, 2010.

5.    Judging/Scoring: The panel of judges will judge both the audition and finalist rounds.  Scoring will be on a one (1) through five (5) grading scale with five being the most points earned for a category.  All performers will be judged by a) delivery, b) personality, c) originality, d) stage presence, and e) overall performance.  It will be at the discretion of the judges to determine the winner in an event of a tie between finalists.

6.    Any transportation to and from the audition and the Music Conference will be the participant’s responsibility.

7.    The grand prize winner will be notified no later than Monday, May 31, 2010 via telephone.

8.    All decisions made by WPHI-FM, Radio One, Inc., the panel of judges, and E1 Entertainment regarding any aspect of this Competition and prize are final.

GENERAL CONDITIONS:

1.    Winners are responsible for all applicable taxes associated with the receipt of the prize (prizes are not transferable and may not be exchanged).

2.    Any person winning over $600.00 in prizes will receive an IRS form 1099 at the end of the calendar year for tax purposes and a copy of such form will be filed with the IRS as required by law.

3.    Competition is void where prohibited.  Competition is subject to all applicable federal, state and local laws and regulations.

4.    Odds of winning depend upon the number of eligible participants participating on the Audition Date.

5.    By participating in the Competition, the winner or winners agree to have their name, voice, or likeness used in any advertising or broadcasting material relating to this Competition, in any media now known or hereafter devised for advertising or promotional purposes without additional compensation, and must sign a publicity release prior to acceptance of the prize.  By entering this Competition, each participant agrees to comply with the Official Rules and the decisions of the Competition sponsor which shall be final and binding in all aspects relating to the Competition.

6.    All Competition winners will be required to sign a liability release prior to acceptance of any prize.  Pursuant to the liability release, the winner or winners will agree to hold WPHI-FM, Radio One, Inc., E1 Entertainment, any other Competition parties and each of their respective affiliates, subsidiaries, agencies, officers, shareholders, directors, employees, agents and representatives of each of the foregoing, harmless against any and all claims or liability, directly or indirectly related to or arising from or in connection with Competition participation or the acceptance, possession or use / misuse of awarded prize or any portion thereof, or participation in prize-related activities, including but not limited to any related travel.

7.    Winners must provide valid identification (i.e. via driver’s license, passport or other photo I.D.) to claim their prize.

8.    WPHI-FM retains the right to disqualify any participant if all Competition rules are not followed, Competition void if prohibited by law.

9.    So long as no participant is materially adversely affected, WPHI-FM reserves the right to make changes in the Competition rules, which will become effective upon being announced on the air.

10. WPHI-FM, Radio One, Inc., E1 Entertainment, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for the inability of any participant to complete or continue a telephone call, facsimile transmission or internet registration due to equipment malfunction, busy lines, inadvertent disconnections, communication failures or human error that may occur in the transmission, receipt or processing of entries.  In addition, WPHI-FM, Radio One, Inc., E1 Entertainment, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for lost, misdirected, mutilated, illegible or incomplete Competition entries.  Once submitted, entries become the property of the station and will not be returned.

11. By accepting the prize, the winner acknowledges that WPHI-FM, and Radio One, Inc. have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or to any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

12. WPHI-FM, Radio One, Inc., E1 Entertainment, their respective subsidiaries, affiliates, participating sponsors and promotional partners will not assume any responsibility for any changes in the execution of the Competition, including; cancellation of the Competition as a result of the occurrence of events not within the control of WPHI-FM, Radio One, Inc., E1 Entertainment, their respective subsidiaries, affiliates, participating sponsors, promotional partners and other radio stations, such as acts of God, strikes, terrorists acts, criminal acts of third parties, an insufficient number of qualified Competition entries, or any other causes beyond WPHI-FM, Radio One, Inc., or E1 Entertainment  control which, in WPHI-FM, Radio One, Inc., or E1 Entertainment sole opinion, corrupts, threatens or impairs the administration, security, fairness, integrity, or proper conduct of the Competition.  WPHI-FM, Radio One, Inc., or E1 Entertainment reserve the right to cancel, terminate, modify or suspend the Competition at their sole discretion.

13. Copies of Competition rules may be available upon request during regular business hours, Monday – Friday 9:00 a.m. to 5:00 p.m., in the office of the WPHI-FM, located at 1000 River Road Conshohocken, PA 19428.  Copies of Competition rules may also be made available during on-site / in-person remote events.
